Shouldn't this be under Tech Support? Anyway. Connection under Windows 98 and XP can be quite a problem. First of all, the XP machine should have an user account with the same name as the windows 98 machine. And even then it is quite likely that the 98 machine won't be found in your network environment. But you should be able to ping it.
You also have to make sure you got the right cable type for connecting two pcs. It has to be a cross-over cable, not a patch cable! Now, the best thing would be to give both pc an IP-adress. Do not use the one Windows provides! It will even improve startup speed of the 98 machine.
Ok, this should do the job.

another proble, if the XP system's file system is NTFS, then you are hosed.
Windows 98 can't read NTFS it only reads FAT32

No, that doesn't matter if he accesses the data over a network. You can even access data on an ext2 or ext3 linux system over a network. If this was true, you probably wouldn't be here now, since many providers nowadays use unix fileservers to host websites like newdoom.com! :D
